This is the most important section of these terms. BidSheet is estimating software, not an estimator. Every quantity, price, and total it produces must be independently verified by you before it goes into any bid, proposal, or contract. We provide no warranty on calculations and accept no liability for bid outcomes. Winning, losing, or mispricing a job is your responsibility, not ours.

1. What these terms cover

These terms are an agreement between you and BidSheet LLC ("BidSheet", "we") and govern the BidSheet Cloud service, the optional subscription that provides backup, sync, and related online features.

The BidSheet desktop application itself is free software licensed under the GNU GPLv3. That license, not these terms, governs your use of the software and its source code. You can use the app forever without an account and without agreeing to anything here.

2. No warranty on calculations

Construction estimating depends on judgment, site conditions, local pricing, and information the software cannot know. BidSheet's calculations, including takeoff quantities, trench volumes, markups, and bid totals, are tools to assist your estimating. They are not professional advice and not a substitute for it.

3. Your account

Creating a cloud account requires a working email address and two-factor authentication. Keep your credentials and your backup passphrase safe; you're responsible for activity under your account. One account is for one business. BidSheet Cloud is designed for subcontractor teams, and we may reach out about an appropriate plan if usage looks like something much larger.

Use the service for BidSheet data, lawfully. Don't attempt to breach or probe the service's security, interfere with other accounts, use it as general-purpose file hosting, or place automated load on it beyond what the app generates in normal use. We apply technical quotas (storage and daily transfer) to keep the service affordable for everyone.

7. Service availability

Cloud sync is in beta. We work to keep it available and durable, and synced data is stored redundantly on professional infrastructure, but we don't promise uninterrupted service and offer no SLA at this price. The desktop app never depends on the service being up.

8. Suspension and termination

You can stop using the service or delete your account at any time. We may suspend or terminate accounts that breach these terms or abuse the service, with notice where practicable. Section 5's export and wind-down rights survive termination except where the account was used unlawfully.

9. Disclaimers and limitation of liability

The service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the service is limited to the amounts you paid us in the twelve months before the claim, and we are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits and lost bids. Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.

10. Changes to these terms

If we change these terms materially, we'll post the new version here with a new date and give notice in the app or by email before it takes effect. Continuing to use the service after the effective date is acceptance.

11. Governing law

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Disputes will be resolved in the state and federal courts located in Texas.
